By accessing or using the Trellis.ph platform, you ("Client," "Employer," "Applicant," or "User") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the legal authority to bind said entity.
1.1. The Platform: Trellis.ph is an integrated SaaS solution providing end-to-end solutions for HR, Business Connectivity, and Operations, powered by AI. The Platform includes modules for human resources management, enterprise resource planning, customer relationship management, internal communications, data analytics, project management, and a proprietary Job Board and Applicant Tracking System (ATS).
1.2. Role of Trellis.ph (Platform Neutrality): Trellis.ph operates strictly as a neutral technology conduit. For employer workspaces, Trellis.ph acts as a Personal Information Processor (PIP); we do not govern the Client's workplace or hiring decisions. It is the Client's sole responsibility to act as the Personal Information Controller (PIC) for all data uploaded and to ensure compliance with all Philippine labor and privacy laws.
2.1. Account Registration: You must provide accurate information to create an account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
2.2. Intellectual Property: All rights, title, and interest in the Platform, including software, AI models, design, branding, and documentation, remain the exclusive property of Trellis.ph.
2.3. Confidentiality: Each party agrees to protect the other party's confidential business information.
2.4. Account Deletion (User-Initiated): All Users may permanently delete their Trellis.ph account at any time directly from within the iOS, Android, or Web app, without contacting customer service or sending an email. Navigate to Profile → Security → Delete Account, then confirm via the in-app prompt (re-enter your email as a safety check; if you are the sole owner of a company workspace, nominate a replacement owner so the workspace is not orphaned). Upon confirmation, the User's authentication credentials, social-login bindings (Google, Apple), profile, and personal preferences are permanently and irreversibly destroyed, and the User is immediately signed out of all active sessions and devices. Where the User is an active employee under a Client Employer, this deletion severs login access but does not unilaterally purge Employer-owned employment records (attendance, payroll, biometric face maps, leave history, etc.) — those remain governed by the Employer's retention schedule per the Privacy Policy (Section 6) and the five-year post-employment retention required by Philippine labor compliance (DOLE, NPC). For deletion of Employer-controlled records, contact the Employer's HR department or DPO.
3.1. Management Prerogative: The decision to enable Facial Recognition or Geolocation Tracking is an exercise of the Client's sole management prerogative.
3.2. Mandatory Authorization: The Client warrants that such features have been authorized by its governing body via a formal Management Directive or Board Resolution.
3.3. Explicit Consent: The Client warrants that it shall secure explicit, un-bundled consent from Users before enabling biometrics, in compliance with NPC Decree No. 356 (2025).
3.4. Manual Alternative: The Client must provide a manual alternative (e.g., PIN or QR code) for employees who decline biometric scanning. Failure to do so places full legal liability on the Client.
3.5. Geolocation Limits: GPS tracking is active only during "Check-In" status. Tracking Users outside of shift hours violates DOLE D.O. 238-23, and the Client assumes 100% liability for any such misuse.
4.1. CRM Restrictions: Users shall not use the customer relationship management and communication tools to send unsolicited commercial communications (Spam).
4.2. Prohibited Acts: Users shall not reverse-engineer the platform, bypass security, or use the internal communication tools for unlawful, harassing, or malicious purposes.
4.3. Job Board and ATS Usage: Clients utilizing the Trellis.ph Job Board warrant that all job postings are genuine, comply with Philippine labor laws (DOLE), and do not violate anti-discrimination laws. The Client shall not use the ATS to harvest candidate data for unauthorized marketing. Trellis.ph reserves the right to remove any posting or suspend any account that violates these standards.
5.1. Data Ownership: The Client retains all rights and title to the raw data they submit to the Platform.
5.2. Platform Security Architecture: Trellis.ph utilizes a robust security architecture. This includes PBKDF2 + SHA256 hashing for user passwords, Fernet symmetric encryption for system API secrets, strict Role-Based Access Control (RBAC) and data-level permissions, built-in mitigations against SQL Injection and Cross-Site Scripting (XSS), and mandatory TLS/HTTPS encryption for data in transit.
5.3. AI Analytics & Machine Learning: Trellis.ph uses AI for analytics and system optimizations.
5.4. Applicant Data and Public Profiles:
6.1. Platform as a Neutral Conduit: Trellis.ph is provided on an "AS IS" and "AS AVAILABLE" basis. Trellis.ph is solely a technology provider and is not an employment agency, recruiter, or professional advisory firm. The Client assumes 100% full and sole responsibility for their hiring decisions, the accuracy of all data entered, and the verification of all automated outputs (including financial reporting, payroll runs, and tax slab applications).
6.2. Full Indemnification: The Client agrees to fully indemnify, defend, and hold Trellis.ph harmless against any claims, lawsuits, regulatory audits, NPC fines, DOLE penalties, or damages brought by employees, candidates, third parties, or government agencies arising from the Client's use or misuse of the Platform.
6.3. Absolute Zero Liability: Trellis.ph assumes ZERO liability for any direct, indirect, incidental, or consequential damages arising from the Client's use of the Platform. This includes, but is not limited to, employee or applicant disputes, discriminatory hiring claims, wrongful termination, tax miscalculations, system downtime, data loss, or privacy breaches caused by the Client's failure to secure consent or maintain account security. The Client explicitly accepts 100% of the operational risk. In the event a court of competent jurisdiction forcibly assigns liability to Trellis.ph despite this provision, such liability shall be strictly capped at a nominal maximum of ₱1,000.00 PHP, regardless of the Client's subscription tier or the nature of the claim.
7.1. Free Tier and Advertisements: Trellis.ph may offer a free or basic tier of the Platform, including free Job Board access. By accessing the Platform under a free tier, Users acknowledge and agree that Trellis.ph may display third-party advertisements within the interface. Trellis.ph does not endorse and assumes no responsibility for the content, products, or services featured in these third-party advertisements.
7.2. Subscription Fees: Fees for paid tiers are non-refundable. Delinquency of over 30 days may result in account suspension.
7.3. Data Purge on Termination: Upon termination, Trellis.ph will maintain Client data for thirty (30) days to allow for export. After 30 days, all raw data (including Biometric face maps and applicant records) will be permanently purged from Trellis.ph servers.
8.1. Venue: This Agreement is governed by the laws of the Republic of the Philippines. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be filed exclusively in the proper courts of Makati City, to the exclusion of all other venues.
8.2. Mandatory Mediation: Parties agree to attempt an amicable settlement through mediation before filing any judicial action.
